These “Conditions of Sale” govern the sale of J & D Enterprises, Inc (hereinafter “J&D”) products to J&D customers. These Conditions of Sale supersede any and all previous Conditions of Sale.

Prices

• Prices are subject to change without notice.

• Prices do not include state or local taxes.

Available Payment Terms (Subject to Credit Approval)

• Electronic Fund Transfer (E.F.T.)-2%, 7 days from date of invoice (Date of Shipment).

• Payment in Advance- Wire transfer- 2%, or bank checks (prior to shipment).

Transportation

• F.O.B. Origin, freight prepaid. Customers own all goods while in transit.

•J&D reserves the right to utilize the carrier of its choice.

Minimum Shipment

• Minimum order 10 cases.

• All orders delivered by carrier of our choice.

• J&D may consider accepting an order for less than the minimum with the customer’s acknowledgement that additional freight charges apply.

Return Goods/Errors in Shipment

• Credit will only be issued for any shortage in orders if it is called in within 24 hours of delivery.

• J&D shall have sole discretion on any credits to be issued.

Guarantees

• All product is guaranteed for quality by J&D, provided it is stored in required conditions of humidity and temperature. All guarantees are expressly limited to refund at purchased prices, less discounts, allowances, or product replacement, at J&D’s option, for products purchased directly from J&D. THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

• Product returned that has been purchased within six (6) months will receive a credit for 100% of the purchase price subject to the conditions indicated above.

• Product returned that has been purchased more than six (6) months but within one (1) year, shall receive a credit of 50% of the purchase price subject to the conditions indicated above.

• Product that has been purchased over one (1) year ago will not receive any credit, if returned.

Contraband and Tax Avoidance

• J&D will consider any tobacco products bearing a SHOW brand name to be contraband if it was not manufactured for SHOW, or does not otherwise comply with all applicable federal, state and local laws. Contraband tobacco products include but are not limited to those on which applicable taxes have not been paid when due, or that have been avoided. J&D customers may not purchase, distribute or sell contraband SHOW tobacco products and are expected to cooperate with J&D in any investigation into such activity. Violation of this policy will lead to immediate termination of customer’s account with J&D.
